Plan Policy

 Any mutually accepted changes will take 48 hours to implement.

 Client hereby grants to Beeleads Inc. and its affiliates a non-exclusive, royalty- free, worldwide licence to use Client’s name, trademark, service mark, and logo for the purpose of fulfilling the requirements of this agreement. Both will act as independent companies. Nothing in this agreement shall constitute or imply a joint venture or partnership.

 This agreement may not be amended, altered, or modified, except in writing and signed by both parties. Demos may be replaced with 10 content syndication leads. Client and Beeleads Inc., as applicable, shall indemnify and hold harmless the other, its employees, agents, representatives, officers, and directors from all liabilities, damages, claims, losses, costs or expenses (including reasonable attorneys’ fees) arising from a third-party claim resulting from:

1. performance of the services under this agreement and/or any service letter by Client or its employees, agents, or representatives.

 

2. Client or Beeleads Inc. breach of any representation, warranty or agreement set forth in this Agreement.

 

3. The violation of any applicable laws by Client or Beeleads Inc., their employees, agents, or representatives.

 

4. Any negligent act or omission (including, without limitation, willful misconduct) by Beeleads Inc. or Client or their employees, agents, or representatives. 5.Beeleads Inc. does not warrant or guarantee success rates, conversion rates, pay-up rates, response rates, or the ability to convert any lead provided under this IO.

 

Furthermore, Client and Beeleads Inc. agree that under no circumstances and under no legal theory, whether in tort (including negligence), contract, or otherwise, shall either party be liable to other parties, its agents, or any third parties for any direct, indirect, special, incidental, or consequential damages of any character arising from plan. Except for claims by Beeleads Inc. regarding nonpayment by Client and for a party’s indemnification obligations, the Client Assumes all the foregoing risks for potential data leaks and GDPR/CASL/CCPA or any other legal breaches in the course of the Beeleads Inc. providing Services and shall hold the Provider harmless from any and all responsibility, liability, and claims in such capacities in any relation to the Beeleads Inc. performance of this Agreement. Projects once received/ auto renewed, cannot be cancelled &the following month can be cancelled within 7 days of the current month’s renewal. 6. Client gives Beeleads and affiliates the right to list and display its name and logo as a customer on their website and in other& marketing materials
